SUMMARY

Zentiva was created through the merger of the Czech company, Léciva, and the Slovak firm Slovakofarma, which was completed in August 2003. The two former companies began selling products under the Zentiva name from the beginning of September 2003. This report provides an insight into the company, reviewing its current business structure and activities.

Zentiva specialises in the development of generics, and holds leading market positions in both the Czech and Slovak Republics. Outside of these two home markets, Zentiva's most important markets are those of Central and Eastern Europe, and in particular the markets of Poland and Russia. The company is establishing new businesses in other territories, including Lithuania, Latvia, Bulgaria and Ukraine.

In October 2005, Zentiva announced its largest shareholder, Warburg Pincus Funds, had sold 6.2 million shares in Zentiva at a price of CZK1,040 per share (US$42.3), and a further 4.5 million shares at CZK1,025 per share (US$41.7 million). Following the sales, Warburg Pincus held just under 7.5 million shares in Zentiva, representing around 20% of the issued share capital. The movement in shares came as Zentiva celebrated its second anniversary, marking the point at which Léciva merged with Slovakofarma.

In March 2006, Zentiva announced that sanofi-aventis had purchased a 25% stake in the firm for 430.3 million euros (US$517.5 million). The stake included 19.6% of shares bought from Warburg Pincus, and represented all of Warburg's interest in Zentiva. For more information, see the Major Developments section of this report.
